Terms of Service

The terms governing the use of Osourced.is.

Osourced.is

Last Updated: November 01, 2026. These Terms apply to all relationships between the Platform and Users.

These Terms of Service (“Terms”) govern the relationship between Osourced LLC (“Osourced”, “Platform”, “we”, “us”, or “our”) and the users (“Users”, “you”) of the website osourced.is (the “Website”). In these Terms, “Platform” means Osourced LLC or, where the context so requires, the Website and the online services operated through it. By accessing or using the Platform, you acknowledge and agree to be bound by these Terms. Acceptance of these Terms shall be deemed equivalent to entering into a binding agreement with Osourced LLC.

1. Legal Entity & Scope & Terms

The Platform is owned and operated by:

Osourced LLC, Legal address: Guram Rcheulishvili V dead-end 10, 0179 Tbilisi, Georgia. Registration (Tax) Number: 404602042; Email: [email protected].

Osourced provides an online marketplace platform that enables businesses (“Clients”) and independent individuals seeking work (“Freelancers” or “Contractors”) to connect and engage with one another. Osourced acts solely as a technology platform facilitating such connections and is not a party to any agreement, arrangement, or relationship established between Clients and Freelancers.

“Freelancer”/”Contractor” means any individual who registers an account on the Platform to offer and provide services to one or more Clients through the Platform.

“Client” means any legal entity that registers an account on the Platform to identify, engage, or receive services from one or more Freelancers through the Platform.

2. Role of the Platform

The terms "Job," "Employee," and "Employer" used on the Platform are for marketing and convenience purposes only and shall not be construed as reflecting the legal nature of the relationship between the parties.

The Platform's role is limited to facilitating connections between Clients and Freelancers. Once connected, the Client and the Freelancer establish and maintain their business relationship directly with each other. The Platform is not a party to any agreement or other legal relationship between the Client and the Freelancer, does not engage, purchase, resell, or provide the Freelancer's services, and does not supervise, direct, control, or assume responsibility for the performance, quality, completion, legality, or outcome of such services.

Unless the Client and the Freelancer expressly agree otherwise in writing, the relationship between the Client and the Freelancer shall be deemed to be that of an independent service provider and a service recipient, and nothing in these Terms or on the Platform shall be construed as creating an employment relationship.

2.1 Nature of the Platform Services

Osourced provides an online platform https://osourced.is/ and tools for connection, communication, job posting, and, where requested by the Client, contractor compensation administration services. Osourced does not employ Job Seekers (Freelancers), nor does it act as an employer of Freelancers or as an agent or representative of Clients or Freelancers. Osourced is not a party to any service agreement or other arrangement negotiated or entered into between Clients and Job Seekers.

For the purposes of these Terms, Osourced provides Platform services exclusively to Clients. Freelancers are independent users of the Platform who use the Platform to offer and provide services directly to Clients and are not recipients of Osourced's Platform services, except as expressly provided in these Terms.

2.2 Independence & External Agreements

The Platform shall not be liable to the Client or any third party for the acts, omissions, performance, qualifications, conduct, or any breach by any Freelancer registered on or engaged through the Platform. Freelancers shall at all times remain independent contractors of the Clients (unless otherwise agreed between the Client and the Freelancer), and no employment, partnership or joint venture relationship, and no relationship under which the Platform purchases or receives the Freelancer’s services, shall arise or be deemed to exist between the Platform and any Freelancer, other than the contractual relationship established by these Terms.

Clients and Freelancers are encouraged to negotiate and execute any additional legal agreements they require (e.g., Service agreement, Data Privacy Agreements (DPA), Non-Disclosure Agreements (NDA), or specific IP Transfer agreements, etc.) directly between themselves outside the Platform. Osourced is not a party to, nor responsible for, the enforcement of these private agreements.

The Platform does not conduct interviews, vetting, background checks, or assessments of Freelancers upon their registration or otherwise, unless explicitly agreed in writing. The Client acknowledges and agrees that it is solely responsible for conducting any due diligence it considers necessary prior to engaging a Freelancer, including but not limited to interviews, qualification checks, reference checks, and evaluation of skills and experience.

Where the Platform provides contractor compensation administration services, such services shall be limited to the technical facilitation of payments to Freelancers on behalf of the Client. Except as provided in this Section 2.2 in respect of unresolved disputes and in Section 5.9, the Platform shall execute payments to Freelancers only subject to (i) the availability of sufficient funds credited in advance by the Client, and (ii) the Client’s acceptance or deemed acceptance of the relevant work, deliverables, or timesheets submitted by the Freelancer.

The Client acknowledges and agrees that it bears sole responsibility for reviewing, approving, or rejecting any work performed by Freelancers, including the verification of timesheets, deliverables, and compliance with agreed terms.

If the Client disputes or does not accept a Freelancer’s work or timesheet, such dispute shall be resolved directly between the Client and the Freelancer in good faith. Subject to the Platform’s discretionary right to release payment as provided below, the Platform shall have no obligation to release or transfer any payment to the Freelancer unless and until the relevant work or timesheet has been considered to be accepted by the Client. The Platform shall not be a party to any such dispute and shall have no obligation to investigate, mediate, arbitrate, or otherwise intervene.

Notwithstanding the foregoing, if the Client and the Freelancer fail to resolve the dispute by 23:59 Georgian time (GMT+4) on the Sunday falling seven (7) days after the Client’s rejection deadline for the relevant timesheet under Section 5.4, and the Freelancer has complied with the Platform’s requirements regarding the submission of timesheets and supporting evidence of the services performed, the Platform may, at its sole discretion, release to the Freelancer payment for up to one (1) week’s services from the funds allocated to the relevant engagement under Section 5.5 or, if insufficient, from the Client’s Balance. Any such payment shall not constitute an acceptance or approval of the Freelancer’s work or a determination of the merits of the dispute, and the Client shall have no claim against the Platform arising out of or in connection with such payment.

Under no circumstances shall the Platform be held responsible or liable for any payment obligations, claims, losses, damages, liabilities, costs, or expenses arising out of or in connection with (i) the engagement of any Freelancer, or (ii) any act, omission, performance, non-performance, defective or incomplete performance, misconduct, or breach by any Freelancer (iii) any failure by the Client to maintain or deposit sufficient funds in its Balance to satisfy any payment obligations to a Freelancer, (IV) any agreement, relationship, act, omission, dispute, breach, non-performance, or other matter arising between the Client and a Freelancer, including in connection with any obligations or arrangements between them.

The Client and the Contractor (Freelancer) May independently determine the nature and terms of their business relationship including the terms and conditions governing its termination. The Platform shall not participate in, nor be responsible for, such determination, classification, or any reclassification of that relationship. Nothing in these Terms and Conditions shall be construed as creating any employment or partnership relationship between Freelancer and Platform, or any relationship under which the Platform purchases or receives the Freelancer’s services, nor shall it affect or expand the Platform’s role, obligations, or liability, which shall remain strictly limited to those expressly set out herein.

Where the Client uses the Platform’s contractor compensation administration services, the Platform may issue to the Client invoices or other accounting documents in respect of the Platform’s fees and the gross amounts payable to the Freelancer(s), inclusive of any withholding tax required under Georgian law to be deducted from such amounts. The Platform’s fees and the amounts payable to the Freelancer(s) shall be shown separately, whether in separate documents or otherwise, in accordance with applicable law and the Platform’s accounting practice.

Any invoice or other document issued in respect of amounts payable to the Freelancer(s) is issued solely for administrative, payment processing, accounting, and tax compliance purposes, in the Platform’s capacity as administrator of payments on behalf of the Client. For the avoidance of doubt, the issuance of any such document shall not be construed as meaning that the Platform purchases, resells, or supplies the Freelancer’s services to the Client. Nor shall it create any contractual relationship between the Platform and the Client in respect of the Freelancer’s services, or render the Platform responsible or liable for the quality, performance, completion, legality, or outcome of such services.

2.3 Communication & Non-Exclusivity.

Users may use the on-platform chat or communicate externally. Osourced does not mandate “platform exclusivity”; users are free to agree to work together outside the platform.

3. Eligibility & Account Registration and Account deletion (Freelancers and Clients)

3.1 Age Requirement

You must be at least 18 years of age to register for an account or use the Platform. By registering, you represent and warrant that you meet this requirement.

3.2 Account Creation

To access certain features of the Platform, you must create an account and provide accurate, complete, and up-to-date information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3.3 Account Suspension & Termination by the Platform

Subject to Section 6.3, Osourced reserves the right to suspend or permanently terminate any User account at its sole discretion, including but not limited to cases of: (a) violation of these Terms; (b) fraudulent, misleading, or illegal activity; (c) failure to comply with identity verification (KYC) requests; or (d) Unresolved dispute between a Client and a Freelancer; or (e) no transaction on the account for more than 3 years. Except as provided in Sections 8 and 8.1, Osourced will make reasonable efforts to notify the User in advance, except where immediate action is required.

4. Subscription & Access Fees

4.1 Clients

Clients pay either a (monthly, quarterly or annual) subscription fee or a one-time fee to access the talent database. Such fee is separate from and in addition to any subscription credit described below. The current fees are defined on the website osourced.is.

If the Client cancels its subscription and submits a valid refund request, the Platform shall refund the applicable refundable subscription fee within thirty (30) calendar days after receiving the request, provided that all outstanding or accrued obligations of the Client, including any amounts payable to Freelancers, have been fully satisfied.

4.2 Subscription Credit

Upon payment of the subscription fee, Osourced may, at its sole discretion, credit the Client’s account with a balance of up to EUR 300, which may be used exclusively for payments to Freelancers through the Platform.

  • Non-Refundable: This credit is a platform incentive and cannot be withdrawn as cash by the Client.
  • Expiration: This credit expires 30 calendar days after the Client cancels the subscription..

5. Contractor Compensation Administration Service

To facilitate secure cooperation, the Platform manages the “Contract-to-Pay” flow as a Contractor Compensation Administrator. Freelancers do not pay any fees to Osourced; all administrative fees are borne by the Client. For the avoidance of doubt, Transfer Charges under Section 5.5 are not administrative fees and may be deducted in accordance with that Section

5.1 Client Balance

Clients wire funds to the Osourced bank account. Once received, the amount is credited to the Client’s digital balance on the Platform.

5.2 Work Parameters

The Client shall specify the hourly rate applicable to each engagement, which may differ from the hourly rate displayed in the Freelancer’s profile, and the maximum number of hours permitted per week. The hourly rate and weekly hour limit defined by the Client shall become binding upon their acceptance by the Freelancer. By accepting these parameters, the Client and the Freelancer agree to the applicable financial terms directly, without the Platform’s involvement.

5.3 Sufficient Balance Requirement

The payment cycle described in this Section 5 only operates if the Client’s deposited balance is sufficient to cover the Freelancer’s maximum gross weekly compensation for the current week (inclusive of any applicable Georgian withholding tax, which is deducted from such compensation), together with Osourced’s administrative fee. If the Client’s balance is insufficient, Osourced shall have no obligation to pay the Freelancer and shall notify the Freelancer accordingly. The Freelancer may choose to continue working at their own risk, acknowledging that Osourced cannot guarantee payment for hours worked during a period of insufficient Client balance.

5.4 Time Sheets & Approval

The weekly payment cycle follows this schedule:

  • The Freelancer may submit a digital time sheet for the previous week starting on Monday and no later than end of day Tuesday (23:59 GMT+4).
  • Osourced forwards the submitted time sheet to the Client for review.
  • The Client may reject the time sheet of the previous week until end of day Sunday (23:59 GMT+4). If the Client does not reject the time sheet by this deadline, the time sheet shall be deemed approved automatically.
  • Upon approval or deemed approval of the timesheet, the applicable Service Fee shall be credited to the Freelancer’s balance on the Platform. The Freelancer may thereafter request a payout (withdrawal of funds from the balance), and the Platform shall process and disburse the requested payout within five (5) business days following receipt of the Freelancer’s payout request.
  • Upon crediting the relevant Service Fee to the Freelancer’s bank account, the Platform shall generate a credit note on behalf of the Freelancer documenting the relevant services and the amount payable in respect thereof. The credit note shall serve as the supporting accounting document for the relevant transaction. The credit note is issued by the Platform in its capacity as administrator of payments on behalf of the Client and shall not evidence any purchase of the Freelancer’s services by the Platform.
  • By submitting a payout request, the Freelancer expressly authorizes the Platform to generate the relevant credit note on the Freelancer’s behalf and shall be deemed to have reviewed, confirmed, and accepted the credit note relating to such payout. No separate signature, countersignature, or other confirmation by the Freelancer shall be required for the validity or effectiveness of the credit note.

5.5 Disbursement

Upon allocation of funds to a specific engagement, the applicable amount shall be deducted from the Client’s Balance and assigned to that engagement. Such amount shall no longer be available to the Client and shall not become available to the Freelancer until the relevant timesheet has been approved or deemed approved in accordance with these Terms. Following such approval, the applicable amount shall be credited to the Freelancer’s Balance. Upon the Freelancer’s withdrawal request, Osourced may deduct any applicable Georgian withholding tax from the amount payable to the Freelancer and disburse the remaining amount to the Freelancer.may deduct any applicable Georgian withholding tax from the amount payable to the Freelancer and disburse the remaining amount to the Freelancer.

International Transfer Charges. Where the payout is made by international bank transfer, any fees, commissions or charges imposed by the Platform’s bank, any intermediary or correspondent bank, or the Freelancer’s receiving bank, together with any currency conversion costs, in connection with such transfer (“Transfer Charges”), may, at the Platform’s discretion, be deducted from the Service Fee payable to the Freelancer. For the avoidance of doubt, the amount received by the Freelancer may be lower than the amount credited to the Freelancer’s Balance, net of any applicable withholding tax.

5.6 Identity Verification for Payouts

As a condition of receiving any payout, the Freelancer shall provide Osourced with a copy of a valid passport; however, a Freelancer who is a Georgian citizen may provide either a valid Georgian ID card or passport. Where applicable, the Freelancer shall also provide a valid tax identification number and a valid tax residency certificate for the relevant tax year.

Clients shall provide Osourced with accurate and valid identification and other information reasonably required for VAT, regulatory, compliance, and verification purposes.

5.7 Non-Georgian Tax Resident Freelancers: Withholding Tax & Certificate of Tax Residency

For Freelancers who are not tax residents of Georgia and are tax residents of a country with which Georgia has not concluded a double taxation agreement, Osourced may collect and remit withholding tax at the rate of 10% of the gross compensation where required under applicable law.

Where a Freelancer is a tax resident of a country with which Georgia has concluded a double taxation agreement but has not provided Osourced with a valid tax residency certificate for the relevant tax year, Osourced shall be entitled to assume that the applicable treaty benefits cannot be applied and may collect and remit withholding tax at the rate prescribed by applicable law.

A non-Georgian tax resident Freelancer shall promptly notify the Platform if the Freelancer relocates or travels to Georgia or provides services to Clients from the territory of Georgia, irrespective of the duration of such stay/services. If a Freelancer fails to notify the Platform as required above and such circumstances subsequently become known to the Platform, the Platform may charge the Freelancer's Balance for any applicable withholding tax (including in respect of prior periods), together with any related taxes, penalties, fines, default interest, or other statutory charges arising, or that would arise as a result of a tax audit or other action by a competent tax authority, as a consequence of such failure to notify.

Upon receipt of a valid tax residency certificate confirming that the Freelancer was a tax resident, for the relevant tax year, of a country that has concluded a double taxation agreement with Georgia, and where such certificate is sufficient for the application of the relevant double taxation agreement, Osourced shall cease charging withholding tax in respect of future payments attributable to the period covered by a valid tax residency certificate provided by the Freelancer. Osourced shall not be obliged to refund any withholding tax collected or remitted in respect of previous calendar years.

The tax residency certificate must be renewed annually. If the Freelancer fails to provide a renewed certificate before the end of the first month of the relevant calendar year, Osourced shall resume collecting and remitting withholding tax in accordance with applicable law until a valid renewed certificate is provided.

The list of countries with which Georgia has concluded double taxation agreements is available at https://mof.ge/en/doubleTaxation

Notwithstanding any other provision of this Section, where the Platform administers the Freelancer’s compensation, Osourced shall be entitled to collect, deduct, and remit any withholding tax that Osourced reasonably determines to be applicable under Georgian law, taking into account the information and documentation available to the Platform. Without prejudice to the Platform’s right under the third paragraph of this Section 5.7 to charge the Freelancer’s Balance, any such withholding tax shall be accounted for at the time the Freelancer withdraws the relevant funds from their balance on the Platform. In the event of any conflict or inconsistency between this paragraph and any other provision of this Section 5.7 or Section 5.8, this paragraph shall prevail. To the fullest extent permitted by applicable law, neither the Client nor the Freelancer shall have any claim against Osourced arising out of or in connection with the collection, deduction, remittance, or payment of any such withholding tax.

5.8 Georgian Resident Freelancers — Tax Status

A Freelancer who is a tax resident of Georgia for the relevant tax year (including, without limitation, a person who qualifies as a tax resident of Georgia by spending 183 or more days in Georgia during any period of 12 consecutive months) ("Georgian Resident Freelancer" or “Georgian Freelancer”) shall provide Osourced by email at [email protected] with: (i) as a condition of receiving any payout, a copy of a valid identification document (a Georgian identity card or passport for Georgian citizens, or a valid passport for non-Georgian citizens); and (ii) if applicable evidence of registration as an individual entrepreneur in Georgia, including, where applicable, status (certificate) of a Small Business. In addition, within a reasonable period, the Georgian Freelancer shall obtain and provide to Osourced a valid tax residency certificate issued by the competent Georgian authority for the relevant tax year.

The Georgian Freelancer acknowledges and agrees that the information and documents provided pursuant to this Section are material for determining the applicable tax treatment and any tax withholding or reporting obligations under Georgian law.

If the proof of registration as Individual Entrepreneur in Georgia is not provided by a Georgian resident freelancer, Osourced shall be entitled to calculate, collect, and remit any taxes required under applicable Georgian law and contribution to pension fund where applicable. Any such taxes shall be deducted from the Freelancer's Balance. Neither the Client nor the Freelancer shall have any claim against the Platform arising out of or in connection with the collection or remittance of such taxes.

If (i) a Georgian Freelancer provides evidence of registration as a Georgian individual entrepreneur, but (ii) it is subsequently determined by the Platform, the Client, or the competent Georgian tax authority that the Freelancer did not qualify as a tax resident of Georgia for the relevant tax year, the Freelancer shall be solely responsible for all resulting tax consequences, including any applicable taxes, penalties, fines, late payment interest, and other statutory charges arising from such incorrect representation. The Freelancer shall reimburse the Platform for any such amounts paid or incurred by them as a result thereof.i) a Georgian Freelancer provides evidence of registration as a Georgian individual entrepreneur, but (ii) it is subsequently determined by the Platform, the Client, or the competent Georgian tax authority that the Freelancer did not qualify as a tax resident of Georgia for the relevant tax year, the Freelancer shall be solely responsible for all resulting tax consequences, including any applicable taxes, penalties, fines, late payment interest, and other statutory charges arising from such incorrect representation. The Freelancer shall reimburse the Platform for any such amounts paid or incurred by them as a result thereof.

Without prejudice to the foregoing, the Freelancer shall indemnify, defend, and hold harmless the Platform and the Client from and against any and all taxes, withholding tax liabilities, penalties, fines, default interest, costs, expenses, or other charges imposed by, or payable to, any competent tax authority: (i) as a result of the Freelancer's inaccurate, incomplete, or misleading information or representations regarding the Freelancer's tax status, tax residency, or registration; or (ii) as a result of any reclassification of payments by the Georgian tax authorities or the imposition of withholding tax obligations, irrespective of whether such reclassification or imposition results from any act, omission, fault, or misrepresentation of the Freelancer.

5.9 Contract Termination Notice

To provide stability for Freelancers, where a Client terminates an active business relationship with a Freelancer, the Client shall remain responsible for payment of the Freelancer’s compensation for the remainder of the then-current calendar week (Monday through Sunday), calculated based on the agreed maximum hours, unless otherwise agreed by the parties in writing. If the Client’s deposited balance is insufficient to satisfy this payment obligation, the Client shall transfer the outstanding amount to Osourced’s bank account within 7 (seven) calendar days following termination, and Osourced shall credit it to the Freelancer’s balance in accordance with Section 5.5.

5.10 One-Time Payments

In addition to the regular weekly payment cycle, the Client may issue a one-time payment to any Freelancer at any time and at the Client’s own discretion, provided the Client has sufficient deposited balance. One-time payments are processed through the Platform and are subject to the same withholding tax rules described in Sections 5.7 and 5.8.

6. Refund Policy for Deposited Funds

6.1 Distinction

A clear distinction is made between “Subscription Credits” (Section 4.2) and “Deposited Funds” (all money wired by the Client to Osourced and credited to the Client’s balance).

6.2 Refundability

If the Client elects to discontinue using the Platform's services, the Client shall be entitled to a refund of any unused deposited funds, provided that all outstanding or accrued obligations of the Client (including amounts payable under approved or pending timesheets and under Section 5.9) have been fully satisfied. Funds allocated to an engagement under Section 5.5 shall not be refundable until that engagement has been settled. Any such refund shall be processed within 30 (thirty) calendar days following the Platform's receipt of the Client's written refund request submitted to [email protected].

6.3 Dormant Accounts

If no transaction has been made on an account for more than 3 years and contains a positive balance of deposited funds, Osourced may charge a monthly maintenance fee of 25 € against the balance until it reaches zero, at which point the account may be closed.

7. Intellectual Property

7.1 Work Product

Unless the Client and the Freelancer expressly agree otherwise in writing, the relationship between the Client and the Freelancer shall be deemed a relationship between an independent service provider and a service recipient. Subject to full payment for the relevant services (whether made through the Platform or otherwise, as permitted by Section 2.3), all intellectual property rights, including all rights, title, and interest in and to any work product, deliverables, materials, developments, inventions, software, documentation, and other results of the services created by the Freelancer in connection with such services, shall automatically vest in, or where automatic vesting is not legally effective, be irrevocably assigned to, the Client. The Client and the Freelancer shall remain free to agree in writing on different terms, including with respect to the ownership, allocation, or licensing of intellectual property rights, in which case such written agreement shall prevail.

7.2 Platform IP

All intellectual property in the Platform itself — including its design, software, trademarks, logos, and content created by Osourced — remains the exclusive property of Osourced LLC. No license or right to use any of Osourced’s intellectual property is granted to Users except as strictly necessary to use the Platform.

7.3 User Content

By uploading content (including profiles, portfolios, and job descriptions) to the Platform, you grant Osourced the non-exclusive, worldwide, royalty-free right to display, reproduce, and distribute such content solely to the extent necessary for the operation, maintenance, and promotion of the Platform. You retain all ownership and intellectual property rights in your content.

8. Acceptable Use & Prohibited Conduct

Users agree not to:

  • Create fake, misleading, or duplicate accounts;
  • Submit fraudulent time sheets or invoices;
  • Assign work to any third party without prior consent of the Client;
  • Use the Platform for any activity that violates applicable laws or regulations;
  • Harass, threaten, or discriminate against other Users;
  • Attempt to gain unauthorized access to the Platform, its servers, or other Users’ accounts;
  • Use the Platform to launder money or finance illegal activities;
  • Scrape, copy, or reproduce any part of the Platform without prior written consent from Osourced.

Osourced reserves the right to suspend or terminate accounts found in violation of this section at its sole assessment without prior notice.

8.1 Fair Use Policy

Use of the Platform must be reasonable. Job Seekers must not submit excessive or indiscriminate applications, and Clients must not post an excessive number of job listings or send bulk or unsolicited messages to candidates. Osourced determines fair use limits at its sole discretion. If a User exceeds the fair use limit, their account will at Osourced’s sole discretion be temporarily paused until the matter is reviewed. Osourced will notify the User and may reinstate the account once reasonable use is confirmed.

9. Disputes & Limitation of Liability

9.1 User Disputes

Osourced shall not be responsible or liable for the quality, completeness, or suitability of any services performed by a Freelancer, nor for the accuracy, correctness, or legitimacy of hours submitted or reported. In the event of any dispute between a Client and a Freelancer, including with respect to services performed, hours worked, or compensation, the parties shall resolve such dispute directly between themselves. Osourced acts solely as a technology platform facilitating connections between Clients and Freelancers and, where applicable, as a contractor compensation administrator based on the Client’s approval or deemed approval in accordance with Section 5.4, or as otherwise provided in Sections 2.2 and 5.9.

In the event of an unresolved dispute between a Client and a Freelancer, the Platform reserves the right, at its sole and absolute discretion, to suspend or terminate the account or membership of the Client, the Freelancer, or both. Neither the Client nor the Freelancer shall have any claim against the Platform arising out of or in connection with such suspension or termination.

9.2 Limitation of Liability

Osourced shall not be liable for any breach of contract, negligence, misconduct, omission, or other act or failure to act by any User (including any Freelancer or Client). Furthermore, Osourced shall not be liable for any loss, damage, cost, expense, liability, or delay arising out of or in connection with any platform downtime, interruption, technical malfunction, system failure, unavailability, or any force majeure event (as defined in Section 13).

9.3 Tax Compliance

Osourced shall not, under any circumstances, be responsible or liable for calculating, collecting, withholding, declaring, reporting, remitting, paying, or otherwise administering any tax, social security, pension, employment-related, or other statutory obligation on behalf of any Client or Freelancer in any jurisdiction outside Georgia. Any such obligations arising outside Georgia shall be the sole responsibility of the relevant Client or Freelancer.

Within Georgia, where required by applicable Georgian law or expressly provided in these Terms, Osourced may calculate, collect, withhold, remit, or otherwise administer taxes or other statutory payments in respect of Freelancers. In all cases, each User shall remain solely responsible for its own tax, social security, employment, regulatory, and other legal obligations under the laws of any applicable jurisdiction.

A Freelancer who is a Georgian tax resident and is duly registered as an individual entrepreneur shall be solely responsible for the calculation, declaration, reporting, and payment of all taxes and other statutory obligations arising from their activities as an individual entrepreneur. Osourced shall have no obligation to calculate, collect, withhold, declare, report, remit, pay, or otherwise administer such taxes or statutory payments on behalf of such Freelancer, except where expressly required by applicable Georgian law. If Osourced is required to pay or incurs any tax, social security or pension contribution, penalty, fine, late payment interest, or other statutory charge relating to such Freelancer, the Freelancer shall bear such costs and fully reimburse Osourced for any amounts paid or incurred.

Without limiting the foregoing, each Freelancer, irrespective of tax residence, registration status, or jurisdiction, shall remain solely responsible for all taxes and other statutory obligations attributable to that Freelancer. If any tax, social security or pension contribution, penalty, fine, late payment interest, or other statutory charge relating to the activities, services, compensation, tax status, or other obligations of any Freelancer is imposed on, assessed against, paid, or otherwise incurred by Osourced, the relevant Freelancer shall bear such amount and shall fully reimburse Osourced for all such amounts, except to the extent that such amount arises solely from Osourced’s own tax obligations relating to its own business activities (which, for the avoidance of doubt, shall not include any amount referred to in the last paragraph of Section 5.8).

Nothing in these Terms shall relieve any Client or Freelancer of their respective tax or other legal obligations under applicable law. Osourced shall remain solely responsible for its own tax and other statutory obligations arising from its own business activities.

9.4 Data & Privacy

While Osourced protects data on the Platform, Users are responsible for establishing their own data processing standards (DPAs) for any sensitive information shared during their direct cooperation.

By accepting these Terms, each User acknowledges and agrees that Osourced may collect, use, store, process, disclose, transfer, and retain the User's personal data and other information to the extent reasonably necessary for the operation of the Platform, provision of the Services, payment processing, identity verification, tax and regulatory compliance, dispute resolution, enforcement of these Terms, and compliance with applicable law. The User further acknowledges that the processing of personal data is governed by the Data Protection Policy available on the Platform at https://osourced.is/, which forms an integral part of these Terms.

9.5 Time Tracking Standard

Where the Client uses the Platform’s contractor compensation administration services, the following time tracking standard applies to the relevant engagement solely to evidence the hours claimed for payment and to support the resolution of payment disputes. The Platform does not use time tracking records to supervise, direct or control the Freelancer’s work:

  • The Freelancer must track all hours worked using an approved time tracking tool (e.g., Toptracker or equivalent).
  • The tracking must include automated screenshots taken at least every 10 minutes, as well as recorded mouse and/or keyboard activity.
  • The tracking record must be complete and uninterrupted for all hours claimed.

10. Indemnification

You (Freelancer and/or Client) agree to indemnify, defend, and hold harmless Osourced LLC, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any dispute between you and another User.

11. Verification (KYC) & Anti-Money Laundering

11.1 Identity Verification

Osourced reserves the right to request identity verification (KYC) or business registration documents from any User before processing payouts or accepting wire transfers to comply with international regulations (such as tax legislation and AML regulations).

11.2 Compliance

We may delay, suspend, reject, or block any transaction where a User fails to provide the required information or documentation, or where the transaction is flagged, restricted, or otherwise questioned by a bank, payment service provider, financial institution, or competent authority. To the maximum extent permitted by applicable law, the User shall have no claim against us for any loss, delay, cost, or other consequence arising from such action.

12. Amendments to These Terms

Osourced reserves the right to modify these Terms at any time. We will notify Users of material changes by email and/or by posting a notice on the Platform at least 30 calendar days before the changes take effect. Your continued use of the Platform after the effective date of revised Terms constitutes acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Platform and may request a refund of deposited funds in accordance with Section 6.

13. Force Majeure

Osourced shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from events beyond Osourced’s reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, government actions, power or internet outages, cyberattacks, or failures of third-party service providers. During any such event, Osourced’s obligations shall be suspended for the duration of the event.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15. Language

These Terms are drafted in English. In the event of any translations being made available, the English version shall prevail in case of any discrepancy or conflict.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of Georgia. Any disputes arising from these Terms between the Platform and User shall be subject to the exclusive jurisdiction of the courts in Tbilisi, Georgia.
